Authorization:
Faydeka is working as an independent contractor for the client on the particular project listed below. Design, development, deployment, hosting, and support of client websites.
Completion:
The client and Faydeka need to collaborate in order to finish the project on schedule. In accordance with the date of agreement acceptance, Faydeka commits to working quickly to finish the project by [Launch, Date].
Assignment of Project:
To guarantee the best fit for the job and timely completion, Faydeka retains the right to designate subcontractors to this project.
Revision during Execution:
Changes to the agreed-upon project scope and objectives may result in additional fees for the customer.
Note:
For three working days, UAT (User Acceptance Test) involves verifying and testing agreed-upon features and functionalities. Smaller changes will be covered in support and are not included in the UAT. The completion and delivery of completely tested and approved projects will be deemed to have occurred if no responses or issues are recorded throughout the UAT period. Any third-party service provider that the client purchases hardware, software, plugins, subscriptions, picture or video content, etc. from must be paid for in full up front. Only bank transfers will be accepted for all financial transactions. The client will be responsible for paying any bank fees. Within ten days after the invoice creation date, all outstanding payments must be made. If a module or the project is canceled, there won’t be any reimbursement.
Legal & License:
Faydeka guarantees that the project’s functionality will satisfy the needs of the client’s website and that it will run with a reasonable level of error-free performance. The client’s website bears full responsibility for the project’s performance and quality. Even though Faydeka has been informed of the possibility of such damages, Faydeka will never be held accountable to the client, the website, or any third party for any losses, including lost profits, lost savings, or other incidental consequential or special damages resulting from the operation of the website or inability to operate it. Any provision of this agreement that is found to be illegal, null and void, or unenforceable will be considered severable and will not impact the enforceability or validity of any other provisions. lawsuit or claim resulting from the use of such components provided by the client’s website.
Copyright to Project:
Upon completion, Faydeka promises to disclose to the client every detail of the project’s design and construction. It also maintains the right to use graphics and other design elements as examples of its work in its portfolio, and all code, copyrights, and ownership will belong to Faydeka alone.
Sole Agreement:
Regarding this project, the agreement in this contract is the only one that Faydeka and the client have ever made. Any additional work not included in this contract must be approved by a signed change order. After both parties sign, all rates listed in this contract will be respected for a period of one (1) month. After that, a new contract will be needed for any further services.
Payment:
Faydeka’s name should be used to make the payment.
Payment in full in advance will be accepted.
Terms and conditions for Digital Marketing:
Service Description:
The Faydeka Company (henceforth referred to as “Faydeka”) provides its customers with Google My Business (GMB) Profile Handling and Search Engine Optimization (SEO) services. Keyword research, on-page and off-page optimization, content production, and monthly reporting are just a few of the SEO services that are offered. The services offered by GMB Profile Handling include review management, insights and analytics, frequent publishing and updates, and profile creation and optimization.
Quotation and Billing:
Faydeka’s quotes are predicated on the scope of work that was decided upon in consultation with the client. The client may be charged extra for any additional services they require. The quotation’s specified terms of payment shall be followed when billing clients. Unless otherwise noted in writing, payment is required at the time the invoice is received. If payment is not received within the allotted time, Faydeka retains the right to discontinue services or end the agreement.
Service Delivery:
Faydeka shall use reasonable efforts to ensure that the services are provided on time and in accordance with the prearranged timetable. Factors outside of Faydeka’s control, like technical difficulties, modifications in customer needs, or unavoidable occurrences, may cause delays in service delivery. Any delays brought on by these circumstances will not be Faydeka’s responsibility.
Client Responsibilities:
In order to make service delivery easier, the client consents to give Faydeka access to the required website and GMB profile credentials. For the purpose of SEO and GMB optimization, the client must supply correct and current information about their company, goods, and services. The customer commits to immediately reviewing and approving any deliverables or modifications that Faydeka suggests within a fair amount of time.
Confidentiality:
Except as required by law, Faydeka pledges to keep all client information private and won’t share it with any parties without the client’s permission. As long as no personally identifying information is shared, the client agrees that Faydeka may use anonymized data for reporting and analysis.
Intellectual Property:
Unless otherwise specified in writing, Faydeka will retain ownership of any content, materials, or intellectual property created or supplied by Faydeka as part of the services. The customer gives Faydeka a non-exclusive, royalty-free license to use the customer’s logos, trademarks, and other branding assets only to deliver the services.
